Measurement API

Confidentiality, API Access and Roof Measurement Services Agreement

Every contractor and software developer who uses the Instant Roofer Measurement API must sign this agreement before an API key is issued. To request the agreement for signature, email cs@instantroofer.com or book a demo.

This Confidentiality, API Access and Roof Measurement Services Agreement (“Agreement”) is entered into as of the Effective Date set forth below by and between Up On The Roof Technologies Inc., doing business as Instant Roofer (“Instant Roofer”), and the customer identified below (“Customer”).

1. Purpose

This Agreement governs Customer’s access to and use of Instant Roofer’s roof measurement technology, APIs, software, data services, and Human Certified Measurement Reports.

2. Services

A. Instant Measure API

PRICING

  • $1.50 per address measured for the first 200 addresses per month
  • $1 per address measured for every successful call after that

PERFORMANCE

  • Response time of up to 15 seconds
  • Daily volume 100 per day. Requests can be made for additional volume

The following data fields are provided when available. Not all measurements will contain every field; availability depends on imagery quality, property characteristics, geocoding, and data coverage for each address.

SERVICE LEVELS

Instant Roofer targets 99% API availability under normal operating conditions but does not guarantee uninterrupted service or any specific response time. Scheduled maintenance, third party outages, force majeure events, and circumstances beyond Instant Roofer’s reasonable control are excluded.

  • Valley Lengths and Counts
  • Rake Lengths and Counts
  • Headwall Lengths and Counts
  • Eave Lengths and Counts

All services described in this Agreement become available to Customer on the Launch Date listed above unless otherwise agreed in writing.

3. Measurement Disclaimer

Instant Roofer utilizes artificial intelligence, aerial imagery, geospatial analysis, and related technologies to generate roof measurement data.

Customer acknowledges that all measurements, calculations, recommendations, reports, and outputs are estimates only and may contain errors, omissions, assumptions, or approximations.

Instant Roofer’s products are not engineering reports, architectural plans, land surveys, legal opinions, or professional inspections.

Customer shall independently verify all measurements before relying upon them for construction, material ordering, insurance claims, legal proceedings, permitting, engineering decisions, or any other high consequence purpose.

  • Certain addresses may not be measurable due to limitations in imagery, geocoding, property characteristics, environmental conditions, or data availability.
  • Customer will not be charged for addresses that cannot be processed.
  • Services currently support U.S. addresses only.
  • Reports are generated from aerial imagery and computer-assisted measurements. All measurements are estimates and may vary from actual field conditions.
  • Imagery © Google and © Microsoft Bing. All rights reserved. Imagery is provided for reference and visualization purposes only.
  • Customer should always verify roof measurements, pitch, and site conditions in the field before ordering materials, scheduling labor, or beginning work.
  • Portions of these reports were created using artificial intelligence / machine learning.
  • Instant Roofer Measurement Technology is patent pending.

4. Payment Terms

BILLING

Due immediately upon invoice. Invoices are charged automatically to the credit card on file each week; no net payment terms apply.

INVOICING

Weekly, generated and charged automatically every Sunday based on the prior week’s actual usage

PAYMENT METHOD

Credit card on file, entered during sign up or in the customer dashboard

If a charge to the card on file is declined or the card has expired, Customer has twenty-four (24) hours to provide a valid payment method before API access may be suspended. Access is restored once billing is brought current.

5. Support

SUPPORT HOURS

Monday through Friday, 9:00 AM to 5:00 PM Phoenix Time (Mountain Standard Time, observed year-round with no daylight saving)

6. Intellectual Property

Customer retains ownership of addresses and customer information submitted to Instant Roofer.

Instant Roofer retains exclusive ownership of all software, APIs, algorithms, AI models, methodologies, calculations, documentation, databases, workflows, trade secrets, derivative works, and improvements.

Customer receives a limited, nonexclusive, revocable license to use delivered measurement data solely for its internal business purposes.

Customer shall not:

  • Reverse engineer any Instant Roofer technology
  • Copy or replicate Instant Roofer systems
  • Attempt to derive source code
  • Create competing products using Instant Roofer Confidential Information
  • Remove proprietary notices

7. Mutual Confidentiality

Confidential Information

“Confidential Information” means any nonpublic information disclosed by either party, including:

  • Software
  • APIs
  • Documentation
  • Source Code
  • Algorithms
  • Product Roadmaps
  • Pricing
  • Business Plans
  • Financial Information
  • Customer Information
  • Technical Specifications
  • Trade Secrets
  • Data Sets

Confidential Information does not include information that:

  • Is publicly available through no fault of the receiving party
  • Was already known by the receiving party
  • Is independently developed without use of Confidential Information
  • Is lawfully obtained from a third party

Confidentiality Obligations

Each party agrees to:

  • Use Confidential Information solely for purposes of this Agreement
  • Protect Confidential Information using reasonable care
  • Limit disclosure to employees, contractors, advisors, attorneys, and accountants with a legitimate need to know

Restrictions

Customer shall not:

  • Share API credentials with unauthorized parties
  • Publish benchmarks or performance testing results without written consent
  • Use Instant Roofer outputs to train artificial intelligence or machine learning systems
  • Use Instant Roofer Confidential Information to develop competing products or services

Survival

Confidentiality obligations survive termination of this Agreement for five (5) years. Trade secrets remain protected for as long as they qualify as trade secrets under applicable law.

8. API Credentials

Customer is responsible for maintaining the confidentiality of all API credentials issued by Instant Roofer.

Customer is responsible for all activity conducted using its credentials and shall promptly notify Instant Roofer of any unauthorized use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INSTANT ROOFER’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO INSTANT ROOFER DURING THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL INSTANT ROOFER BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, CONSEQUENTIAL DAMAGES, INCIDENTAL DAMAGES, SPECIAL DAMAGES, EXEMPLARY DAMAGES, OR PUNITIVE DAMAGES.

INSTANT ROOFER’S LIABILITY FOR HUMAN CERTIFIED MEASUREMENT REPORTS IS LIMITED TO THE COST OF THOSE REPORTS. INSTANT ROOFER IS NOT RESPONSIBLE FOR CONSEQUENTIAL DAMAGES, MATERIAL WASTE, OR INSTALLATION DECISIONS MADE SOLELY FROM HUMAN CERTIFIED MEASUREMENT REPORTS.

INSTANT ROOFER’S LIABILITY FOR INSTANT MEASURE (AI) REPORTS IS LIKEWISE LIMITED TO THE COST OF THOSE REPORTS. AI-GENERATED MEASUREMENTS MAY CONTAIN ERRORS, AND INSTANT ROOFER IS NOT RESPONSIBLE FOR CONSEQUENTIAL DAMAGES, MATERIAL WASTE, OR INSTALLATION DECISIONS MADE SOLELY FROM INSTANT MEASURE REPORTS.

10. Indemnification

Each party shall indemnify and hold harmless the other party from claims, damages, liabilities, costs, and expenses arising from its breach of this Agreement, violation of law, negligence, or willful misconduct.

11. Suspension and Termination

Instant Roofer may suspend services immediately if Customer:

  • Breaches this Agreement
  • Fails to pay invoices when due
  • Misuses the services
  • Compromises the integrity of the platform

Either party may terminate this Agreement upon sixty (60) days written notice.

Termination shall not relieve Customer of payment obligations incurred prior to termination.

12. Notices

All notices shall be delivered by email or other written communication method customarily used by the parties.

13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.

The state and federal courts located in Delaware shall have exclusive jurisdiction over any dispute arising from or relating to this Agreement.

14. Acceptance

Customer’s execution of this Agreement, creation of an account, use of an API key, submission of an address, access to any Instant Roofer service, or payment of any invoice constitutes acceptance of this Agreement.

15. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior discussions, negotiations, proposals, understandings, and agreements relating to its subject matter.

Any amendment must be in writing and signed by both parties.
